“SATISPAY POINTS” PROGRAM

1. HOW DOES THE PROGRAM WORK?

The loyalty program “Satispay Points” (hereinafter referred to as the “Program”) allows participating users to earn and redeem points to receive cashback on eligible transactions made through the Satispay app (“App”).

2. WHO IS THE ORGANISER?

The organiser of the Program is Satispay Europe S.A, a company incorporated under Luxembourg law, with its registered office at 53, Boulevard Royal, L-2449 Luxembourg (“Satispay,” or “we”).

Satispay is an electronic money institution regulated by the Commission de Surveillance du Secteur Financier, with registration number W00000010.

3. WHO ARE THE PROGRAM TARGETS AND HOW IS IT POSSIBLE TO PARTICIPATE?

The Program is open exclusively to consumers who have received an invitation or communication to participate, directly from Satispay. To participate, users must have installed the App and completed the activation process for the Satispay Consumer service offered by Satispay. Activation is considered complete once the user has accepted the service’s terms and conditions and the SEPA mandate in favor of Satispay.

👉 To participate in the Program, the user must enroll by clicking the dedicated button in the App’s specific sections, after reading these rules (the “Participating User” or “you”). By joining the Program, the Participating User fully accepts these rules and any future update. The most up-to-date version of the rules is available on the website https://www.satispay.com (the “Website”).

4. WHAT IS THE PROGRAM DURATION?

The Program is valid from March 1, 2025, to December 31, 2025, unless extended or modified (“Program Duration”). Participating Users must redeem their Points no later than January 31, 2026.

5. HOW TO EARN SATISPAY POINTS?

You can earn Points:


  • on all eligible transactions made through the App at businesses with a VAT registration number and affiliated with the Satispay Business service (the “Merchants”) that are not included in the exclusions listed in paragraph TRANSACTIONS NOT ELIGIBLE TO EARN OR REDEEM POINTS;
  • on all eligible transactions made through the App to purchase phone top-ups, gift cards or to execute PagoPA payments, Road Tax payments, donations and payment slips; and
  • through any other method that may be indicated in the App
    “(collectively, “Eligible Point-Earning Transactions”).

6. HOW MANY POINTS CAN BE EARNED?

For all Eligible Point-Earning Transactions made through the App, you will earn:


👉 no. 1 point for each euro (euro one/00) spent (each, a “Point”).


Points will be calculated for each Eligible Point-Earning Transaction as resulting from the “Transactions” section of your App’s “Profile”.


Fractions of a Point will not be credited: decimal amounts, such as €0.30 or €0.80, do not entitle the Participating User to earn any Points or fractions of Points.


❗When indicated in App, certain Eligible Point-Earning Transactions will allow you to get extra Points (e.g., double or triple Points! - so called “Multiplier”). Details of the applicable conditions will be visible prior to payment.

7. HOW CAN POINTS BE REDEEMED?

During the Program Duration, once you have earned the minimum number of Points specified in the dedicated section of the App for the Program (the “Minimum Participation Threshold”), you will be able to use your Points to obtain a refund (“Cashback”) on eligible transactions made through the App.


You can redeem Points for Cashback:


  • on all transactions made through the App at Merchants that are not included in the exclusions listed in paragraph TRANSACTIONS NOT ELIGIBLE TO EARN OR REDEEM POINTS;

  • su tutte le transazioni effettuate tramite l’App per l’acquisto di gift card o per effettuare donazioni; e attraverso qualsiasi altra modalità che potrebbe essere indicata in App

    (collectively “Eligible Point-Redemption Transactions”).


❗Cashback cannot be requested on transactions made through the App to purchase phone top-ups or to execute PagoPA payments, Road Tax payments or payment slips.


To request Cashback simply convert your Points directly in App, before completing an Eligible Point-Redemption Transaction.The request to use the accumulated Points must be made directly by you at the time of purchase by following the instructions in App. You will be able to preview on the App, on the screen summarising the payment being made, the exact total amount of the Cashback that can be paid out. The payment amount must always be paid in full, and the Cashback will be credited immediately after completing the Eligible Point-Redemption Transaction.


❗Points do not represent money or e-money and under no circumstances can be exchanged for cash or e-money.


To use your Points, at the time of payment, you must have a total balance equal to or greater than the total value of the transaction.

8. WHEN IS THE CASHBACK CREDITED?

Once you have completed the payment, the Cashback resulting from the conversion of the Points used will be credited to your availability in the App.


This “incoming transaction” will be visible at any time in the list of transactions, in the “Transactions” section of the App.


As a Participating User, you may use the credited Cashback to make payments through the App to third parties that use Satispay services; you may even be able to split the credited Cashback in multiple transactions (unless otherwise specified).


If it is impossible to pay via the App for various reasons (such as, for example, no connection, non-acceptance of payment by the Merchant, etc.), you will not be able to use your Points and the Cashback will not be credited to you.

9. TRANSACTIONS NOT ELIGIBLE TO EARN OR REDEEM POINTS

❌ Transactions made at Merchants whose activities performed fall within the following categories will not be considered Eligible for Points Earning and Redemption (“Non-Eligible Transactions”):


  • Production, promotion, publication or distribution of:
    ◦ Illegal drugs or tobacco products
    ◦ Pornographic material
    ◦ Products or services designed to aid in unauthorised reception of cable, Streaming or satellite audio or visual
    ◦ Counterfeit goods or any good or services that are subject to copyright or intellectual property protection
    ◦ Any type of firearms or weapons
    ◦ Fake or counterfeit government ID’s, Visas, Licences or other documents
    ◦ Cultural artefacts and other items of archaeological, historical, cultural and religious importance, or of rare scientific value, as well as ivory and protected species
    ◦ Any other product or service known to be illegal or not in compliance with local laws
    ◦ Prepaid or other stored value cards that are:
    not associated with a specific merchant
    not limited to purchases of particular products or services
    ◦ Material which is considered to incite or promote violence and/or any form of exploitation or discrimination based on race, gender, age, religion, disability or sexual orientation
  • Providers of online gambling and gaming
  • Casinos or other brick & mortar betting establishments
  • Multi-level marketing and/or door-to-door sales and trade representatives
  • Financial services and money service businesses (financial institutions, currency exchange, money transmitters, securities brokers)
  • Loan, debt management or collection agencies
  • Pawn shops
  • Gold buyers and resellers (as primary business activity)
  • Massage parlours (unless licensed for physical therapy)


We reserve the right to modify the list at any time and to exclude additional categories of businesses, in accordance also with the specifics of each Initiative, by duly notifying the Participating User of such exclusions.

10. EXCLUSION FROM THE PROGRAMME

We reserve the right to exclude a Merchant and/or a Participating User from the Program, resulting in the loss of the Points accumulated by the Participating User, and, if necessary, to recover any Points that have been used to obtain Cashback, in the cases where:


🚨we reasonably believe you have not made an eligible or genuine Eligible Point-Earning and/or Eligible Point-Redemption Transactions;


🚨 we detect improper use of the App with respect to the provisions of this Program, or national or EU laws and regulations;


🚨 we detect a violation of applicable legislation on payments by non-cash instruments;


🚨 we detect an increase by a Merchant in sales price of a given product or service as a result of the Participating User’s involvement in the Programme and/or specific initiatives;


🚨 referring to offline shops, the Merchant were to receive payments:
- during opening hours different from those of the online store publicly declared;
- in advance or deferred with respect to the time of purchase of the good or service by the Participating User;


🚨 we detect abuse in the methods of earning Points and/or Cashback, or fraudulent or otherwise unauthorized obtaining of Points and/or Cashback.


Exclusion will take effect immediately, subject to the right of Participating Users and/or Merchants to provide adequate evidence in their favor and be reinstated in the Program.


👀 Should we identify anomalies, such as (but not limited to!) those listed above, we reserve the right to request the Participating User to provide a copy of a backing document for the purchase of the good or service, such as, but not limited to, official receipt, sales receipt or copy of the cash journal.

11. REFUND REQUESTS

If the Participating User requests a refund for an Eligible Point-Earning Transaction that has generated Points, and the refund request is approved, the earned Points will be automatically deducted from the Participating User’s Points balance, even if the Points obtained have already been used by the Participating User.


If there is not enough positive Points balance to cover the full amount of Points, the Participating User’s Points balance will go negative and subsequent Points earned will offset the negative balance until the situation is fully restored to a positive balance.


If the Participating User requests a refund for an Eligible Point-Redemption Transaction for which they requested and received Cashback by converting Points, and the refund request is approved, the corresponding number of used Points will be automatically credited back to the Participating User’s Points balance and the Cashback amount will be credited back to Satispay.


In the case of a partial refund, Points will be credited back to the Participating User proportionally to their respective usage in the Eligible Point-Redemption Transaction and the corresponding Cashback amount will be credited back to Satispay.

12. MODIFICATIONS

We reserve the right to:

- Modify this regulation, including the method of Points accumulation, any limits on the collection or use of Points, at any time, with at least 15 days’ notice to Participating Users via notification on the App, email, or through the Website. - Introduce specific promotional initiatives during the Program, which will be time-limited and aimed at providing more favorable conditions for all or some Users based on uniform, objective, and predetermined criteria. These Initiatives will be duly communicated to the involved users.
